1. Service Description

Client Glance is a software-as-a-service platform that allows agencies and service businesses to create password-protected client dashboards connected to their ClickUp workspaces. The Service includes portal creation, client-facing dashboards, ClickUp data synchronization, and related features available through our website at clientglance.com.

2. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old or the age of legal majority in your jurisdiction.
• One person or legal entity may not maintain more than one free account.
• You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to other accounts, systems, or networks.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit viruses, malware, or other harmful code.
• Scrape, crawl, or use automated means to access the Service without permission.
• Resell, sublicense, or redistribute the Service without our written consent.
• Misrepresent your identity or affiliation with any person or organization.

4. Subscriptions and Billing

4.1 Plans and Pricing

The Service offers free and paid subscription plans. Features, limits, and pricing for each plan are described on our pricing page. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees.

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods.

4.4 Free Tier

Free accounts are subject to usage limits. We reserve the right to modify or discontinue free tier features at any time.

5. ClickUp Integration

The Service connects to your ClickUp workspace via OAuth. By authorizing the connection, you grant Client Glance permission to read data from your ClickUp workspace as needed to display it in your client portals. We do not modify your ClickUp data. Your use of ClickUp is also subject to ClickUp's own terms of service.

6. Your Content and Data

6.1 Ownership

You retain all rights to the content and data you provide through the Service, including portal configurations, branding, and any data pulled from your ClickUp workspace.

6.2 License to Us

You grant us a limited, non-exclusive license to use, store, and process your content solely to provide and improve the Service.

6.3 Data Portability

You may export your data at any time. Upon account deletion, we will remove your data within 30 days, except where retention is required by law.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by UPSYS LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for the accuracy or availability of data from third-party services, including ClickUp.

10. Limitation of Liability

To the maximum extent permitted by law, UPSYS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless UPSYS LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or for any other reason with reasonable notice. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately, and we may delete your data after 30 days.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Wyoming.
